Term sheets are an important tool for companies seeking angel funds or venture capital funds. Yet they are often written in arcane or obscure language. What’s “Anti-Dilution” and what effect does it have? In point of fact, the difference between “full ratchet” and weighted average Anti-Dilution can mean millions of dollars to the founders. That’s real money.
Please join us for a lively discussion of Term Sheets. Learn how to navigate term sheet provisions, and, more specifically, how key deal terms protect and impact the entrepreneur. Topics include: key deal points, how to negotiate to the satisfaction of both parties, and what terms and conditions are commonly used by angel investors in funding early stage ventures.
The workshop will be presented by Mitch Woolery. He is a partner with Kutak Rock LLP, a national law firm. He has 21 years experience in representing entrepreneurs and investors in early stage, growth and mature companies. Mr. Woolery has a law degree from the University of Missouri – Columbia (with honors) and graduated from the University of Chicago (with honors).
Kathy A. Howell has been appointed CEO of Saint Luke’s South in Overland Park, effective immediately. She assumes the role vacated by Julie Quirin, who became CEO of Saint Luke’s Hospital of Kansas City in December.
Howell has served as vice president and chief nursing officer at Saint Luke’s South since 2001 and additionally as Saint Luke’s Health System vice president of women’s and children’s services since 2005. She holds a bachelor’s degree in nursing from Marymount College and a master’s in business administration from Northern Illinois University.
“Kathy has been instrumental in developing several new clinical programs at Saint Luke’s South and has helped Saint Luke’s South earn numerous awards and honors, including for top performance in several clinical and patient satisfaction areas,” said G. Richard Hastings, president and CEO of Saint Luke’s Health System. “We’re happy to have her continued leadership and energy at the helm of Saint Luke’s South.”

The Johnson County Library will hold the 2009 Annual Sizzlin' Summer Used Book Sale in cooperation with Friends of the Library at Metcalf South Shopping Center, 9635 Metcalf, Overland Park, Kan., in early June. This will provide a great opportunity to stock up on gently used books and audiovisual materials for all ages and interests at bargain prices.

A "Friends of Library Member Only" Preview Sale will be held on Tuesday, June 9, from 6-9 p.m. which requires a current Friends of the Library membership card that may be purchased at the sale or at the Friends Used book stores located at Antioch and Blue Valley Neighborhood Libraries.
According to Marsha Bennett, Community Relations Coordinator for Johnson County Library, this is the 21st year for the Library’s popular annual summer used book sale. Last year the annual sale set an all time record with more than $78,000.00 in sales.
"There is a huge selection of materials again this year including thousands of books on tape," Bennett stated. "There is definitely something for every age and interest. We estimate there will be approximately 100,000 items."
